The Buy-Side M&A; Advisor provides the transaction judgment behind every deal, structuring, modelling, and diligence, while coaching the client through it. You won't sit across the table in the client's place; you'll prepare them to negotiate well, shape the terms and structure, and stay close throughout so they move from evaluating targets to signed terms with confidence. This is a client-facing role: clear communication and the ability to guide a first-time or seasoned acquirer through a high-stakes process is central to the role.
Compensation: monthly work-fee advance/retainer + per-deal success fee on close
What you'll do
Evaluate acquisition targets surfaced through our sourcing engine and clients' own pipelines; you're assessing and shaping deals, not cold-originating from zero
Guide the client through LOI negotiation — preparing positions, coaching them at the table, and engaging sellers' advisors where it helps
Structure deals, pricing, terms, and structure that work for client, seller, and lender
Build and maintain financial models on the platform that drive the go/no-go and the offer
Run point on diligence workstreams and flag risks that move terms or valuation
Pressure-test financeability with our Debt Advisor before LOI, so we the client doesn’t sign terms that can't be financed
Keep clients informed and moving: status, risks, next steps
What you bring
Ability to coach and communicate; you can guide a client through a complex, emotional, quick-moving process and keep them clear-headed and focused.
Track record in M&A;, private equity, or business acquisition, ideally buy-side
Strong modelling and comfort with structuring and valuation
Experience negotiating LOIs and transaction documents
Sound judgment under time pressure; deals move fast, and terms shift
Comfort working part-time and async, with responsiveness during active deals
How success is measured
Deals reaching signed terms and closing
Quality and durability of negotiated terms
Qualifications
Required: 5+ years in M&A; advisory, investment banking, PE, corporate development, or transaction services; strong modelling; experience negotiating acquisitions and conducting financial diligence; working understanding of purchase agreements and deal structures.
Preferred: CPA, CFA, or CBV; experience with ETA / entrepreneur-acquisition transactions; mid-market experience.
