Legal

Counsel - Commercial Ebury Toronto Office - (Hybrid: 4 days office / 1 day WFH) The Legal Department at Ebury is core to the functioning of the Ebury Group. It provides front-line advice to all parts of the Ebury Group on legal, regulatory and governance matters which contribute to Ebury’s growth every day. We are looking for an enthusiastic and driven commercial or corporate lawyer who is keen to work in a fast-paced, dynamic and growing company which is focused on building the Ebury brand.

The successful candidate will provide high quality legal advice to key stakeholders in Canada, the United States and overseas, and be pivotal to Ebury’s development on a global scale. The person who fills this role will be a part of the global legal team and will report to the Chief Legal Officer based in London. contributing to the design and implementation of new products and expansion into current markets, with a particular focus on the launch in the United States; drafting and negotiating third party contracts including sports sponsorship, partnership and related commercial contracts, negotiating intellectual property agreements, including licensing and brand-related arrangements,



and review of leases/ real estate contracts; advising on corporate structuring matters to maintain and develop Ebury’s corporate structure given its global footprint in an efficient manner, having regarding to regulatory, tax and other relevant matters; day-to-day responsibility for legal matters in Canada and the USA , as well as supporting the global legal team as a whole; supporting the business on financial services regulatory matters across Canada and the United States, including licensing and registration (such as money services business and money transmitter requirements), safeguarding and conduct matters, working closely with the Compliance and Corporate Development teams; supporting corporate governance and entity management for Ebury's North American entities, including board and shareholder resolutions, corporate filings and subsidiary maintenance; supporting the Front Office, Risk Department, HR Department and others in efficiently resolving disputes; representing Ebury in interaction with clients, counterparties, banking partners, industry bodies and other third parties; preparing templates, playbooks, procedures and self-service material and participating in the provision of relevant training and awareness programmes; supporting the Chief Legal Officer in delivering the Legal Department’s objectives generally, sharing knowhow and training and development of less experienced members of the team.



law degree in Canada or the United States; at least 5 years of qualified experience, either in private practice or in house; fluency in French or Spanish desirable but not required; as this will initially be a standalone role in North America, the successful candidate must be a self-starter who is able to work independently in a growing office while integrating effectively with the broader global legal team.
