The Opportunity

Our client is seeking a Corporate M&A; Associate (2021–2022 Call) to join its Corporate/Commercial Group. This role offers exposure to a broad range of private M&A; transactions, corporate reorganizations, financings, and general corporate/commercial matters.

The successful candidate will work closely with experienced partners and clients on sophisticated domestic and cross-border transactions, while developing strong technical and commercial skills in a collaborative, team-oriented practice.

Key Responsibilities

- Advise clients on private mergers, acquisitions, divestitures, and strategic investments.
- Draft and negotiate purchase and sale agreements, shareholder agreements, disclosure schedules, and ancillary transaction documents.
- Conduct and manage legal due diligence reviews.
- Assist with corporate reorganizations, financings, joint ventures, and other strategic business transactions.
- Coordinate transaction closings and manage closing deliverables.
- Collaborate with lawyers across tax, banking, commercial real estate, employment,



and other practice groups to deliver seamless client service.
- Develop practical, business-focused solutions for clients throughout the transaction lifecycle.

Qualifications

- 2021 or 2022 call to the Ontario Bar.
- 2–5 years of experience in corporate/commercial law with a focus on private M&A;.
- Experience drafting and negotiating transaction documents and coordinating deal closings.
- Strong organizational skills with the ability to manage multiple transactions simultaneously.
- Excellent drafting, analytical, and communication skills.
- Commercial mindset with a client-focused approach.
- Experience with cross-border transactions or private equity matters is considered an asset.
