Our client is a private-equity backed healthcare-focused, highly acquisitive Canadian organization. Operating in a fast-paced and entrepreneurial environment, the organization is seeking a commercially minded General Counsel to take ownership of an established Legal and Risk function. The culture is hardworking, pragmatic, collaborative and low-ego, with high expectations for performance and accountability. The position is based in Toronto, with four days per week in office (Monday–Thursday) and Fridays remote.
Responsibilities
- Lead and develop the organization's Legal and Risk function;
- Serve as a trusted legal and strategic advisor to senior leadership;
- Lead legal aspects of M&A; and corporate development, including acquisitions, integrations and reorganizations;
- Advise on complex corporate, commercial and governance matters;
- Oversee healthcare regulatory and compliance matters;
- Provide strategic oversight of significant litigation, disputes and enterprise legal risk;
- Manage external counsel; and
- Remain hands-on with sophisticated,
high-impact legal matters.
Requirements
- Approximately 8-16 years of post-call experience and membership in good standing with the Law Society of Ontario;
- Robust foundational corporate and M&A; experience, ideally gained at a leading Canadian law firm;
- Senior in-house leadership experience, ideally as a GC at a smaller or mid-sized organization, or VP, AGC or Head of Legal within a larger organization;
- Exceptional legal and commercial judgment with a pragmatic, business-oriented approach;
- Demonstrated experience leading and developing legal professionals;
- Ability to thrive in a fast-paced, entrepreneurial and high-performance environment;
- Healthcare, regulated-industry and/or highly acquisitive company experience is an asset; and
- French/English bilingualism is an asset.
Exceptional candidates currently practising at a leading Canadian law firm may also be considered.
