Position Summary
Reporting to the Chief Risk Officer (CRO), the Corporate Secretary is responsible for supporting the effective Board governance, oversight, and administration of the organization and its Board of Directors.
Responsibilities
- Serve as Corporate Secretary to the Board of Directors and its committees, including attending meetings and advising on governance and procedural matters.
- Plan, coordinate, and manage all Board and Committee meetings, including preparation of agendas, materials, resolutions, and accurate meeting minutes.
- Ensure compliance with the Bank Act, bylaws, governance policies, OSFI’s Corporate Governance Guideline, and other applicable regulatory requirements.
- Maintain and oversee the organization’s corporate records, minute books, statutory registers, and resolutions.
- Advise the Board, committees, and senior management on corporate governance best practices and evolving legal requirements.
- Support the onboarding, orientation, and ongoing education of Directors and Committee members.
- Liaise with legal counsel, regulators, auditors, and other professional advisors on governance and corporate matters.
- Support legal and governance aspects of corporate transactions, restructurings, and strategic initiatives, including document preparation and approvals.
- Lead Board related projects and initiatives.
- Manage regulatory filings, examinations, and correspondence with the Office of the Superintendent of Financial Institutions (OSFI) and other applicable regulators.
- Support the Board Risk Committee’s oversight of the bank’s risk appetite framework and enterprise risk governance.
- Oversee governance processes for related-party transactions and director conflicts of interest in accordance with Bank Act requirements.
- Handle highly confidential Board and executive matters with discretion, sound judgment, and professionalism.
Qualifications
- Minimum 5 years of business experience including minimum of 3 years of relevant Governance experience.
- Demonstrated business acumen and ability to quickly execute on Board initiatives.
- Prior experience as Corporate Secretary or in a governance role at a bank, trust company, or other federally regulated financial institution strongly preferred.
- Working knowledge of the Bank Act and OSFI’s corporate governance guidance; familiarity with the broader FRFI regulatory environment (e.g., AML/FINTRAC, FCAC consumer-protection requirements)

- Governance credential (e.g., Chartered Governance Professional (CGP) or ICD.D) an asset.
- Strong understanding of corporate governance principles, statutory obligations, and compliance requirements.
- Excellent written and verbal communication skills, with strong drafting and minute-taking capabilities.
- Highly organized, detail-oriented, and able to manage multiple priorities in a rapid-paced environment.
- High level of professionalism, discretion, and sound judgment.
