Contract Conformance Specialist IV to serve as a Subject Matter Expert within the Supply Chain Management (SCM) Contracts Center. This role provides senior-level support across a wide spectrum of commercial contracting activities. The position is accountable for drafting, reviewing, negotiating, and finalizing contractual terms utilizing approved templates, established legal positions, and risk-informed governance frameworks.

Operating with high autonomy, the successful candidate will drive agreement creation, redline negotiations, and contract execution readiness, partnering closely with SCM, Legal, and business leaders to deliver compliant, efficient contracting outcomes.

Execute Complex Commercial Negotiations: Independently draft, review, revise, and negotiate complex commercial agreements, including EPC Agreements, Services Agreements, and supplier paper contracts.

Manage Risk & Redline Responses: Evaluate supplier redlines and formulate strategic, risk-informed responses utilizing approved fallback language, prior precedents, and legal guidance; escalate material deviations to Legal and SCM leadership as appropriate.

Provide Contract Guidance: Advise SCM and business stakeholders on optimal contract selection based on scope, risk profile, monetary value, inspection levels, legal entity structures, and joint venture parameters. Coordinate internal input across Buyers, Category Managers, Legal, Risk, Insurance, Safety, Tax, and functional leaders to align corporate positions prior to supplier engagement. Document key business decisions, legal feedback,



and negotiation rationales within Contracts Center systems (Oracle) to support compliance, tracking, and handoffs for purchase order releases.

Drive Process Improvement: Peer Mentorship: Provide technical advice, process guidance, and peer support to fellow Contracts Center team members.

Experience: Minimum of seven (7) years of progressively responsible experience in supply chain management, commercial contract management, legal operations, procurement, or as a corporate in-house paralegal (flexibility of 1–2 years for candidates with highly relevant corporate background).

Technical Mastery: Demonstrated skill in drafting and negotiating complex supplier agreements using structured templates and negotiation parameters.

Legal & Commercial Acumen: Advanced written and verbal communication abilities, with a proven capacity to translate complex legal terms into practical language for business stakeholders.

Systems Proficiency: Proficiency with Microsoft Office, SharePoint, Teams, Adobe/electronic signature tools, and enterprise systems such as Oracle.

Industry Background: Work experience within the energy, utilities, oil and gas, construction, engineering, or industrial services sectors; corporate legal setting background is strongly considered. S. commercial contracts.

Experience with master agreement strategy, alternate clause library development, or process improvement methodologies.
