OUR CLIENT

Our client is a Montréal-based boutique law firm recognized for its expertise in business law, venture capital, financing, tax, and transactional matters. The firm advises private companies, high-growth businesses, investment funds, investors, and entrepreneurs throughout every stage of their business lifecycle.

THE ROLE

Our client is seeking a Junior to Intermediate Corporate Paralegal (1 to 5 years) to join its growing transactional practice.

The successful candidate will support a wide range of corporate transactions, with a strong emphasis on mergers and acquisitions, venture capital financings, and corporate reorganizations.

While candidates with a corporate law background are preferred, the firm is also open to individuals coming from litigation who have a genuine interest in corporate law and a strong willingness to learn.

This is an outstanding opportunity to receive hands‑on mentorship and develop a sophisticated corporate practice within a team of approximately 7–8 lawyers specializing in Corporate & Commercial Law, Venture Capital, Financing, Tax, and M&A.;

KEY RESPONSIBILITIES

- Preparing and maintaining corporate records and minute books;
- Assisting with incorporations, amalgamations, continuances, dissolutions, and corporate reorganizations;
- Supporting mergers and acquisitions transactions, including due diligence, closing checklists,



and closing documentation;
- Assisting with venture capital and private equity financings, including share issuances and related corporate documentation;
- Preparing directors' and shareholders' resolutions and other corporate governance documents;
- Conducting corporate searches and registrations with provincial and federal authorities;
- Coordinating transaction closings and post-closing filings;
- Liaising with clients, lawyers, government registries, and external advisors throughout transactions.

QUALIFICATIONS

- Diploma in Paralegal Technology or equivalent experience;
- Experience in corporate law is preferred; candidates with litigation experience and a strong interest in corporate law will also be considered;
- Strong interest in corporate transactions, venture capital, and M&A;
- Excellent organizational skills and exceptional attention to detail;
- Strong interpersonal skills, initiative, and a genuine desire to learn and grow professionally.
