Credit Union Central of Manitoba (CUCM) is the trade association and central service organization that supports Manitoba's credit unions. Based in Winnipeg, CUCM manages liquidity reserves, monitors credit granting practices, and provides a wide range of shared services, including corporate governance support, government relations, advocacy, payments and settlement systems, treasury services, human resources, research, communications, marketing, strategic planning, lending support, product development, and business consulting. About the Role The Corporate Secretary and Governance Officer is a hands‑on governance role responsible for supporting the effective functioning of CUCM’s Board of Directors and its committees. This role serves as the primary resource for all board‑facing activities, ensuring that governance processes are well administered, corporate records are maintained with rigour, and the Board has the coordination and documentation support it needs to fulfill its responsibilities effectively. This role requires both depth of governance knowledge and the organizational discipline to manage a high volume of complex, time‑sensitive, and confidential responsibilities without dedicated administrative support. The successful candidate will bring a strong understanding of board governance practices, excellent written communication skills, and the judgment to operate with discretion in a provincially regulated organization.
Key Responsibilities: Lead the planning, coordination, and administration of all CUCM Board and committee meetings, including annual meeting schedules, forward agendas, work plans,



minutes, and business arising reports
Prepare and distribute Board and committee packages in a timely and accurate manner, including agendas, minutes, presentations, briefing notes, and supporting materials
Administer and coordinate Board and governance assessment processes, including board meeting evaluations, annual Board and committee self‑assessments, director peer assessments, and management feedback surveys
Lead the planning and coordination of CUCM’s Annual General Meeting, including notice packages, AGM booklets, meeting briefing materials, and production of accurate minutes
Maintain CUCM’s corporate policy manual and ensure Board and corporate policies are kept current, with version control and policy review cycles managed effectively
Develop and manage the governance and corporate secretary budget in accordance with organizational objectives, including preparation of variance reports and forecasting
Qualifications A diploma or degree in business administration, public administration, governance, or a related field. A law degree would be an asset but is not required.
Progressive experience in corporate governance, board administration, or a related corporate secretarial function, ideally in a regulated sector, financial services workplace or member-based organization
Strong knowledge of corporate governance practices, board processes, and statutory compliance requirements
Demonstrated experience supporting boards and board committees, including the preparation of board materials, minutes, and governance documentation
Strong judgment with excellent communication, and interpersonal skills with the ability to exercise discretion while working with directors, senior leaders and external stakeholders
An ICD designation or equivalent governance credential would be considered a strong asset
