The opportunity EY leads transaction diligence, delivering financial and strategic transaction assistance across the entire transaction process. You will join the Transaction Diligence team to help clients navigate and succeed in their deals. Your key responsibilities As a strategic advisor, you will analyze profit drivers, challenge future performance assumptions, and support purchase agreements and post‑closing matters. Skills and attributes for success Participate and play a leadership role in due diligence engagements for acquisitions or divestments by private‑equity investor groups and strategic corporate players. Analyze financial/operational results of targets through operational accounting records and management interviews. Identify and quantify GAAP issues affecting target valuation. Prepare and evaluate pro forma financial information. Analyze carve‑out issues relevant to buy‑side or sell‑side projects. Identify issues for purchase price reductions, deal structuring or deal termination. Identify post‑acquisition/divestiture action steps. Evaluate effects of seasonality on cash flow requirements. Perform industry and company research. Correlate due diligence findings with client valuations and manage service expectations. Develop people by supervising staff, providing constructive feedback, training, and conducting performance reviews. Build strong relationships across service lines and manage cross‑functional collaboration and delivery.
To qualify for the role Minimum 4 years of experience with 2+ years of diligence experience. Bachelor’s or Master’s Degree in Accounting or related major. CPA or CA, or equivalent certification. Advanced Excel proficiency. Proficiency with analytics tools preferred (PowerBI, Alteryx). Effective written and verbal communication skills. Strong analytical and interpersonal skills. Dedication to teamwork. Strong work initiative and adaptability to recent challenges. Willingness to team and learn. Willingness and ability to travel within Canada and the US.
