CONSEILLER(ÈRE) JURIDIQUE PRINCIPAL(E) — LITIGES ET CONSTRUCTION SAJO est une entreprise générale de construction et de réalisation de projets dont le siège social est situé à Mont-Royal. Nous menons des projets au Québec et à travers le Canada ainsi qu’à l’échelle internationale. La clientèle de l’entreprise provient principalement des secteurs du commerce de détail, du luxe et institutionnel.

Les mandats confiés à notre direction des affaires juridiques sont par conséquent variés, commercialement orientés et menés à un rythme soutenu. SAJO recherche actuellement un(e) juriste dynamique pour un contrat à durée déterminée de quatorze (14) mois dans le cadre d'un remplacement pour congé de maternité, avec possibilité de renouvellement ou de titularisation. La personne retenue assumera la direction de la fonction juridique pendant la durée du remplacement.

Elle travaillera en outre en étroite collaboration avec les deux autres membres du service : un gestionnaire principal responsable des affaires juridiques et des risques commerciaux, ainsi qu'une coordonnatrice principale chargée de la conformité juridique. Rédiger, réviser et négocier les contrats de construction et les ententes commerciales (contrats principaux, contrats de sous-traitance, bons de commande, contrats de services, ententes de confidentialité, quittances et transactions), y compris les contrats types (CCDC, AIA, JCT). Conseiller les équipes de projet, en temps réel, sur les droits et obligations contractuels, la gestion des changements, les exigences en matière d'avis et l'atténuation des risques.

Maîtrise du francais à l'oral comme à l'écrit, et connaissance fonctionnelle de l'anglais suffisante pour traiter les dossiers relatifs à nos projets à l'étranger.

Autonomie démontrée : aptitude à exercer son jugement, à établir ses priorités et à faire progresser ses dossiers sans supervision. Aisance avec les outils d'intelligence artificielle appliqués à la pratique du droit, et jugement critique dans leur utilisation. Approche pratique et orientée vers les affaires en matière de gestion du risque; crédibilité et clarté dans les rapports avec les équipes de projet et la haute direction.

Expérience en supervision ou en encadrement d'avocats en début de pratique, considérée comme un atout. Connaissance des contrats types de l'industrie de la construction et, idéalement, exposition à des dossiers hors Québec. La maîtrise du français, à l'oral comme à l'écrit, est requise.

Une connaissance fonctionnelle de l'anglais est également nécessaire,



nos projets à l’extérieur du Québec supposant des échanges écrits et verbaux avec des intervenants étrangers. Journées personnelles et familiales payées, ainsi que congés fériés, distincts des vacances annuelles. Paiement de la cotisation au Barreau du Québec et de la prime au Fonds d'assurance responsabilité professionnelle, au prorata de la durée du contrat.

Budget généreux de formation continue; les heures de formation continue obligatoire sont assimilées à du temps de travail. Aucun déplacement à l'extérieur du Québec. Période de transition et d'intégration assurée par la Directrice principale des affaires juridiques, avec remise de notes de transfert écrites pour les dossiers actifs.

SENIOR LEGAL COUNSEL — LITIGATION & CONSTRUCTION SAJO is a general contractor and project delivery firm headquartered in Mont-Royal. We deliver projects in Quebec and across Canada as well as internationally. The company’s clientele is primarily from the retail, luxury and institutional sectors.

The work handled by our legal affairs department is accordingly varied, commercially driven and carried out at a sustained pace. SAJO is currently seeking a energetic legal professional for a fourteen (14)-month fixed-term contract to cover a maternity leave, with the possibility of renewal or conversion to a permanent position. The position is based on site in Mont-Royal, Quebec, and the start date is as soon as possible.

The successful candidate will assume the direction of the legal function for the duration of the replacement. They will report directly to the Chief Executive Officer and will supervise a junior counsel. They will also work closely with the two other members of the department: a senior manager responsible for legal affairs and commercial risk, and a senior coordinator in charge of legal compliance.

Lead the portfolio of active litigation and arbitration matters, including setting file strategy, instructing and supervising external counsel, participating in examinations, mediations and settlement negotiations, and reporting to senior management on exposure and on the progress of files. Personally build and plead the files that are not referred to external counsel, including drafting pleadings,



preparing the evidence and the witnesses, conducting examinations and representing SAJO before the courts and arbitral tribunals. Handle disputes with subcontractors, suppliers and third parties: claims for deficiencies and delays, back-charges, legal hypothecs, disputes relating to holdbacks and payments, formal demands and notices of default.

Draft, review and negotiate construction contracts and commercial agreements (prime contracts, subcontracts, purchase orders, service agreements, confidentiality agreements, releases and settlements), including industry standard forms (CCDC, AIA, JCT). Advise project teams, in real time, on contractual rights and obligations, change management, notice requirements and risk mitigation. Supervise a junior counsel, review their work and contribute to their professional development.

Coordinate with the finance department to track external legal fees and departmental expenses, and support the finance team through the annual audits (litigation confirmations, assessment of contingent liabilities, responses to auditors' requests). Solid construction litigation experience, acquired in private practice or in-house — an essential requirement.

Experience in advocacy and in the full preparation of court files, from drafting pleadings through to hearing. Fluency in French, spoken and written, and a working knowledge of English sufficient to handle files relating to our foreign projects.

Demonstrated autonomy: the ability to exercise judgment, set priorities and advance files without supervision. Ease with artificial intelligence tools applied to the practice of law, with critical judgment in their use. A practical, business-oriented approach to risk management; credibility and clarity in dealings with project teams and senior management.

Experience supervising or mentoring junior counsel, considered an asset.

Language requirement: Fluency in French, spoken and written, is required. A working knowledge of English is also necessary, as our projects in the United States, the United Kingdom and Europe involve written and verbal dealings with foreign stakeholders. Paid personal and family days, as well as statutory holidays, separate from annual vacation.

Payment of Barreau du Québec dues and of the professional liability insurance premium, pro-rated for the duration of the contract. No travel outside Quebec. Transition and onboarding period provided by the Senior Director of Legal Affairs, including written handover memoranda for active files.
