What You’ll Do (Key Duties):
Music licensing and rights strategy
- Drafting, reviewing, and negotiating music licensing agreements, including agreements involving master recordings, musical compositions/publishing rights, synchronization rights, mechanical/reproduction rights, performance/communication rights, digital product use, audiovisual content, educational use, social/media use, and other rights needed for Musora’s business.
- Negotiating with music publishers, record labels, collective management organizations, performance rights organizations, copyright administrators, independent artists, managers, estates, distributors, and other rights holders or representatives.
- Supporting the licensing of music for lessons, song-based learning experiences, artist performances, educational videos, practice tools, app features, marketing campaigns, live or recorded events, social content, paid media, partnerships, and new product formats.
- Advising internal teams on what rights are needed for specific uses of music and what uses are permitted under existing agreements.
- Developing practical licensing frameworks that balance speed, cost, rights-holder relationships, student experience, and legal risk.
- Creating and maintaining template agreements, negotiation playbooks, fallback positions, approval workflows, and scalable contract processes.
- Partnering with Finance and Operations on royalty reporting, usage reporting, minimum guarantees, advances, renewals, audit rights, payment obligations, and contract compliance.
- Helping build and maintain a reliable rights-management system so Musora can track what has been cleared, where it can be used, for how long, in which territories, and under what conditions.
- Managing music-related disputes, claims, takedown requests, rights conflicts, and escalations.
- Supervising music licensing outside counsel, clearance specialists, or other external advisors where needed.
Product, content,
and intellectual property counselling
- Advising on copyright, trademark, publicity rights, personality rights, moral rights, fair dealing/fair use considerations, rights of privacy, and related issues.
- Supporting new product features and business models that involve music, video, lessons, user engagement, creator content, AI-enabled tools, community features, or new distribution channels.
- Drafting and negotiating talent, instructor, artist, creator, production, release, work-made-for-hire, collaboration, and content acquisition agreements.
- Reviewing marketing, brand, and promotional initiatives for legal risk.
- Supporting enforcement and protection of Musora’s intellectual property, brand assets, curriculum, content, and proprietary materials.
- Advising teams in plain language so non-lawyers can make informed decisions without unnecessary friction.
General counsel and commercial legal leadership
- Drafting, reviewing, and negotiating commercial agreements, including vendor agreements, SaaS and technology contracts, agency agreements, partnership agreements, sponsorships, distribution arrangements, affiliate agreements, contractor agreements, NDAs, and other business contracts.
- Advising leadership on legal strategy, risk allocation, dispute resolution, governance, corporate matters, insurance, compliance, and business operations.
- Supporting privacy, data protection, consumer protection, subscription, advertising, e-commerce, and online platform compliance.
- Managing employment-law matters in partnership with People & Culture and outside counsel.
- Creating practical legal policies, templates, training, and processes that help the business move faster with more confidence.
- Selecting, managing, and controlling spend with outside counsel.
- Helping Musora decide when to take risk, when to slow down, and when to build a better system.
What We’re Looking For (Who you are; skills, knowledge, abilities and more!):
- Proficiency in the English language (written and verbal)
- Ability to exhibit the Company's Core Values: Empathy, Passion, and Grit (see full description).
- Law degree and membership in good standing with a Canadian law society, U.S. state bar, or equivalent legal qualification in the jurisdiction where you practice.
- Significant post-call/post-qualification legal experience, ideally including both law firm and in-house experience.
- Direct, hands-on experience negotiating music licensing agreements is required.
- Experience drafting and negotiating agreements involving music publishers, record labels, CMOs/PROs, copyright administrators, independent artists, or similar music rights holders.
- Strong understanding of music copyright, music publishing, master rights, digital music licensing, and the commercial dynamics of the music industry.
- Ability to advise on licensing structures for digital platforms,
video content, educational content, subscription products, marketing uses, and recent product features.
- Strong commercial contract drafting and negotiation skills.
- Comfort operating as the first or sole internal lawyer in a fast-moving company.
- Ability to give transparent, practical advice to business teams without over-lawyering.
- Strong judgment, ownership, discretion, and communication skills.
- Ability to manage multiple priorities, triage risk, and build scalable systems from scratch.
