The work location for this role is 483 Bay Street in Toronto until approximately late 2026 when the work location will change to the new Mississauga office at 3 Robert Speck Parkway.Job DescriptionReporting to the Director Procurement & Legal Counsel Sr, the Legal Counsel will oversee contracts drafts, reviews, negotiate and manage various contracts, including the interpretation of such contracts and the implementation of amendments.How You'll Make An ImpactReviewing and considering all pertinent issues which arise in the context of negotiationsIndependently draft, review, negotiate and manage a variety of agreements such as technology and non-technology products, intellectual property licensing, information systems and services (including software, SaaS, AI and data license agreements, and qualified services)Liaise and collaborate with external and internal Fidelity business partners to ensure necessary legal documentation is completed in accordance with timelines/policiesAssist in the continual improvement of processes, documentation and practices to achieve a more efficient workflowAssist with supplied sourcing, onboarding and engagement as well as ad‐hoc projects as necessary including Third Party Risk, Model Risk, Information Security, Privacy and TaxDrafting, maintaining and updating material contracts, as requiredCoordinating and implementing comments received from internal and external partiesContributing to the development,



implementation and enhancement of legal and procurement policies and proceduresIdentifying and driving opportunities to streamline, standardize and automate contracting processes, including leveraging technology to improve efficiency and consistencyWhat We're Looking ForCompletion of the Bachelor of Law or Juris Doctor degree or equivalent experienceExperience with technology contracts and/or AI vendors is an asset4+ years of experience in the legal or procurement department of a large commercial organization or a large law firmLicensed as a member of the Law Society of Upper CanadaExperience in contracts requiredComfortable using contract lifecycle systems and contract management software or other legal technology solutionsPrior mutual fund industry experience is an assetIn‐house experience and experience representing large, multi‐national bank or diversified financial institutionUnderstanding of regulations applicable to financial institutions as they relate to third party engagements (e.G., privacy/cybersecurity, material outsourcing arrangements, etc.)What You Will BringExcellent contract drafting skills with a high level of accuracy and attention to detailSuperior communication,
