About the Opportunity
Our client, a growing and collaborative law firm in Ottawa, is seeking a Corporate & Commercial Associate Lawyer to join their team. This opportunity is ideal for a practical and motivated lawyer with 3+ years of corporate and commercial law experience who enjoys working directly with clients and supporting a broad range of business matters.
The successful candidate will work closely with experienced counsel while managing corporate and commercial files, providing practical legal advice, and contributing to a collaborative, client-focused practice.
Key Responsibilities
Corporate & Commercial Law
- Manage corporate and commercial files with appropriate supervision.
- Support a variety of business transactions, including:
- Incorporations and corporate reorganizations
- Share and asset purchase transactions
- Financing matters
- Contract drafting and review
- Commercial agreements and corporate governance matters
- Draft, review, and negotiate corporate and commercial documents, including:
- Purchase agreements
- Shareholder agreements
- Corporate resolutions
- Service agreements and other commercial contracts
- Conduct legal research and assist with transaction structuring and due diligence.
- Provide practical, business-focused advice to clients on corporate and commercial matters.
Client & Team Collaboration
- Build and maintain strong client relationships through responsive and practical legal service.
- Work collaboratively with clients, colleagues, and external advisors to support successful outcomes.
- Manage files effectively while maintaining strong attention to detail and meeting deadlines.
- Contribute to a positive team environment and support practice development initiatives.
Qualifications
- Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) from an accredited law school.
- Member in good standing with the Law Society of Ontario.
- Minimum 3 years of experience practicing corporate and commercial law.
- Experience supporting a range of transactional and advisory matters.
- Strong drafting, analytical, negotiation, and problem-solving skills.
- Excellent attention to detail with the ability to exercise sound judgment.
- Strong interpersonal and client relationship skills.
- Ability to work independently while collaborating effectively within a team.
- Fluency in English is required; French-English bilingualism is considered an asset.
