Corporate Law Clerk — Downtown Toronto
A well-established law firm in the heart of downtown Toronto is looking for a seasoned Corporate Law Clerk to join its corporate services team. This is a role for someone who thrives on ownership: managing competing priorities, moving transactions forward, and keeping corporate records in impeccable order, all while working closely with lawyers and clients.
The successful candidate will be a self-starter with deep corporate compliance knowledge and a sharp eye for detail. You will be trusted to handle complex matters independently, but you will also be part of a collaborative group that supports one another through busy periods.
What you'll do
You will be at the center of our corporate transactional and governance work, including:
- Supporting lawyers throughout transactions by drafting documentation, coordinating closings, running searches, and preparing reports
- Preparing and filing documents for incorporations, amendments, amalgamations, acquisitions, financings, and reorganizations under the OBCA and CBCA
- Carrying out detailed corporate reviews and due diligence, and drafting rectification materials where needed
- Reviewing minute books and preparing routine minute book documentation
- Building corporate structure charts to map out entity relationships
- Registering business names, partnerships, and limited partnerships
- Filing annual returns and other required forms under Ontario's Corporations Information Act
- Drafting share provisions and contributing to the firm's precedent library
- Applying a working knowledge of ISC (transparency register) requirements
- Identifying compliance obligations and keeping lawyers informed on the status of active files
What you bring
- 5-10 years of experience as a Corporate Law Clerk
- Completion of a Law Clerk program recognized by the Institute of Law Clerks of Ontario (ILCO), and membership in good standing with ILCO
- Thorough command of the applicable corporate statutes
- Strong administrative, organizational, and time-management abilities
- A dependable, motivated approach and the ability to work with minimal supervision
- A qualified, personable manner and the ability to communicate effectively with people at every level
- A genuine team-player attitude
