Job Purpose

Reporting to the Principal, the Corporate Paralegal isresponsible for maintaining corporate minute books, ensuring timeliness andexcellence in completion of straightforward corporate transactions (includingincorporations, annual returns, dividends, corporate changes, and dissolutions)and providing support to the Principal and Associate Lawyers in the completionof more complex legal projects (including corporate reorganizations, mergers,acquisitions and divestitures)

Key Duties & Responsibilities

- Maintaining corporate minute books, includingannual compliance filings and resolutions and updates following corporatetransactions, with no oversight

- Maintaining electronic minute book program(ALF), with no oversight

- Completing simple corporate transactions(including incorporations, annual returns, dividends, name changes, directorchanges, share redemptions, non-arms’ length share transfers, etc) with minimaloversight and ability to issue spot using checklists, using document automationprograms (ALF, HotDocs)

- Completing due diligence for corporatetransactions, including (i) reviewing minute books and preparing minute bookreports using document automation programs and (ii) reviewing due diligencesearches and preparing due diligence reporting using document automationprograms, for review by Principal or Associate Lawyers

- Preparing ancillary documents (sharecertificates,



share assignments, etc) for corporate transactions with nooversight, using document automation programs

- Preparing and completing registrations andfilings at Corporate Registry (amendments, amalgamations, etc), Land Titles andPersonal Property Registry, with no oversight

- Maintaining project agendas for corporatetransactions, including regular updates

Leadership Accountabilities

- Documents drafted with consistent accuracy andnegligible error rate

- Comprehensive and consistent identification ofdue diligence issues which are relevant to corporate transaction, includingminute book deficiencies

- Information in minute books and electronicminute book program is accurate and complete, including shareholder anddirector ledgers, corporate filings and other documents (promissory notes,agreements, share certificates, share assignments, etc)

Skills and Qualifications

- 2-5 years’ experience as a corporate paralegal

- Experience with residential real estateconsidered an asset

- CORES II certification is a requirement

- CORES III certification is considered an asset

- Experience with ALF Corporate is considered anasset

- Proficient with MS Office

- Moderate technological competence

- Excellent attention to detail

- Ability to prioritize and effectively managestress
