About the Opportunity
Our client, a growing and collaborative law firm in Ottawa, is seeking a Corporate & Commercial Associate Lawyer to join their team. This opportunity is ideal for a practical and motivated lawyer with 3+ years of corporate and commercial law experience who enjoys working directly with clients and supporting a broad range of business matters.

The successful candidate will work closely with experienced counsel while managing corporate and commercial files, providing practical legal advice, and contributing to a collaborative, client-focused practice.

Key Responsibilities
Corporate & Commercial Law

Manage corporate and commercial files with appropriate supervision.

Support a variety of business transactions, including:

Incorporations and corporate reorganizations

Share and asset purchase transactions

Financing matters

Contract drafting and review

Commercial agreements and corporate governance matters

Draft, review, and negotiate corporate and commercial documents, including:

Purchase agreements

Shareholder agreements

Corporate resolutions

Service agreements and other commercial contracts

Conduct legal research and assist with transaction structuring and due diligence.

Provide practical, business-focused advice to clients on corporate and commercial matters.

Client & Team Collaboration





Build and maintain strong client relationships through responsive and practical legal service.

Work collaboratively with clients, colleagues, and external advisors to support successful outcomes.

Manage files effectively while maintaining strong attention to detail and meeting deadlines.

Contribute to a positive team environment and support practice development initiatives.

Qualifications

Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) from an accredited law school.

Member in good standing with the Law Society of Ontario.

Minimum 3 years of experience practicing corporate and commercial law .

Experience supporting a range of transactional and advisory matters.

Strong drafting, analytical, negotiation, and problem-solving skills.

Excellent attention to detail with the ability to exercise sound judgment.

Strong interpersonal and client relationship skills.

Ability to work independently while collaborating effectively within a team.

Fluency in English is required; French-English bilingualism is considered an asset.
