Posting Outline: In-house Legal Counsel
Volaris acquires, strengthens and grows vertical market technology companies.
We are seeking a lawyer with 2-4 years post-call experience to join our legal department. In this role, reporting to the Senior Legal Counsel, you will play a key role in M&A; transactions across the Volaris portfolio, while also serving as counsel for a diverse range of software companies on commercial matters. You will be based at either the Volaris office downtown Toronto, or its headquarters in Mississauga, but will be expected to travel occasionally.
We value in-person training and mentorship, and the expectation is that the role will require at least two (2) days in office per week.
The Ideal Candidate Has
Meaningful M&A; experience (strong knowledge of due diligence processes, comfortable drafting ancillary agreements and coordinating closing matters, and good knowledge of post-closing integration)
A solid understanding of technology agreements
Some commercial law exposure
You don’t need a computer science background but you do need to know your way around a software license agreement because you will see a lot of them. The soft skills you will need to succeed in this role include the ability to manage a very busy workload without a lot of hand holding, strong negotiation and communication skills, and a comfort level working outside of your normal areas of expertise (international deals, employment, IP, etc.).
Responsibilities
M&A; – Support acquisitions end-to-end: due diligence, NDA review, disclosure schedules, and,
over time, negotiate purchase agreements, lead workstreams and coordinate with external counsel. Commercial – Business unit support for contracts and support on legal issues. Reviewing software license agreements against corporate standards.
New Business
Development - Support efforts to establish a presence in new markets and geographies. Insourcing – Will assist IT and other shared services groups with the negotiation of major purchases. Corporate -- Will assist Senior Legal Counsel with tracking certain quarterly functions (bond status, litigation management, etc.) and with rolling out company-wide initiatives and compliance tools (policies, etc.).
Qualifications & Skills The successful candidate is required to hold a law degree and licensed to practice in Ontario
2 to 4 years of relevant experience at a law firm or in-house legal department
Demonstrated M&A; experience is required (e.g. due diligence, purchase agreements, disclosure schedules, or post-closing integration)
Candidates should have some experience in negotiating IP/IT software licensing contracts, SaaS, and professional services agreements
Experience with AI and legal practice management tools would be an asset
Knowledge of privacy laws and data security practices
Willingness to travel to other office locations and for client site visits
Solid business acumen. Must be able to work independently and juggle multiple priorities in a fast moving and often shifting work environment
