Our client is seeking a Senior Corporate Commercial Associate Lawyer with 5+ years of private practice experience to join a collaborative and growing practice. This role offers the opportunity to independently manage sophisticated corporate transactions, advise established business clients, and work in a versatile environment that emphasizes high-quality work, professional autonomy, and work-life balance.
Responsibilities
- Independently manage a broad range of corporate and commercial law matters from inception to completion.
- Advise owner-managed businesses, entrepreneurs, and corporate clients on legal and strategic business matters.
- Draft, review, and negotiate commercial agreements and transactional documents.
- Handle incorporations, reorganizations, amalgamations, share and asset purchases, financing transactions, and corporate restructurings.
- Conduct legal due diligence and oversee transaction closings.
- Prepare and maintain corporate records,
minute books, governance documents, and shareholder agreements.
- Build and maintain strong client relationships while providing practical, business-focused legal advice.
- Collaborate with lawyers across multiple practice areas on sophisticated transactions.
Qualifications
- J.D. or LL.B. from an Ontario law school.
- Member in good standing with the Law Society of Ontario.
- 5+ years of private practice experience in Corporate Commercial Law.
- Experience gained at a respected mid-sized or larger law firm.
- Proven ability to independently manage sophisticated corporate transactions and client files.
- Strong drafting, negotiation, analytical, and communication skills.
- Excellent business acumen and client relationship management abilities.
