We are currently seeking a Senior Associate Lawyer

This is an excellent opportunity for an experienced lawyer seeking greater autonomy, a healthier work-life balance, flexible Fridays, remote work options, and the opportunity to work directly with sophisticated corporate clients.

Responsibilities

- Independently manage a broad range of corporate-commercial files from initial consultation through completion.

- Advise sophisticated business clients on corporate governance, commercial transactions, and general corporate matters.

- Draft, review, and negotiate a wide variety of commercial agreements, including shareholders' agreements, asset and share purchase agreements, loan agreements, service agreements, distribution agreements, licensing agreements, and other commercial contracts.

- Lead corporate transactions, including mergers and acquisitions, business purchases and sales, reorganizations, and corporate restructurings.

- Manage transaction closings, coordinate with clients and third parties, satisfy closing conditions, and oversee all closing documentation.

- Handle routine corporate matters, including incorporations, amalgamations, continuances, dissolutions, revivals, and corporate maintenance.

- Advise on tax-driven reorganizations, including estate freezes and corporate rollovers, where applicable.





- Build and maintain strong client relationships while providing practical, business-focused legal advice.

- Work independently while collaborating with the firm's lawyers on complex matters when required.

Qualifications

- Juris Doctor (JD) from an Ontario law school.

- Licensed and in good standing with the Law Society of Ontario.

- 6-10 years of private practice experience in corporate-commercial law (articling experience will not be considered).

- Solid experience independently managing corporate-commercial files and advising sophisticated business clients.

- Experience handling commercial transactions, mergers and acquisitions, corporate reorganizations, and complex commercial agreements.

- Excellent drafting, negotiation, analytical, and client management skills.

- Strong organizational skills with the ability to manage multiple files independently.

- Exceptional written and verbal communication skills.

- Ability to thrive in a fast-paced environment while working with minimal supervision.
