Be part of a winning team that leads the way in Technology for the Legal markets, Digital Security Solutions, Enterprise Information Management, and Digital Platforms.Your ImpactOpenText is seeking a commercial Legal Counsel to join our in-house legal team performing commercial transactional work for an established but growing line of business. This is a diverse role that will require negotiating and drafting a wide variety of commercial technology agreements in support of various North American-region sales activity, including cloud services agreements, software licenses, and professional services. The role also involves acting as a trusted Legal advisor supporting a growing and dynamic line of business, working with cross-functional groups, researching novel product offerings, and handling escalations. The successful candidate is expected to perform analysis and provide guidance on company transactions as well as new go-to-market products, evaluate risk, update templates, create efficiencies, deliver training, and manage projects benefiting the Legal team and department. Use of AI and the ability to support a business leaning heavily into this field is also an important part of this position.What The Role OffersWorking effectively and pragmatically in a fast-paced environmentManaging multiple responsibilities while understanding the complexities of a multi-faceted businessReviewing and negotiating a wide variety of commercial agreements,



with extra emphasis on software & SaaSCommunicating complex matters clearly and solving problems practicallyBuilding positive working relationships with teammates, subject matter experts, internal clients and customersProviding high quality, practical support to businessWorking with systems and processesTriage and prioritizationWhat You Need To SucceedInterest in learning new technologies and business models; vision to create current templates and streamline processes; and willingness to makerecommendations and participate in the decision-making processStrong experience working in a legal department or a law firm handling commercial matters4+ years of experience conducting contract negotiations, preferably concerning technologyEnthusiastic, hard-working, enjoy working in a team environment and confident working at a senior level with lawyers and other professional colleaguesExperience doing business with regulated industries, and understanding or interest in data privacy/data security a plusSolid hands-on experience drafting, negotiating and providing guidance on a wide variety of agreements; particularly in software licensing, hosted/cloud-based product agreements, professional services contracts, and maintenance and support agreementsKnowledge of working within the IT sector and assisting sales executives on commercial and sales transactions. Work with GenAI systems, contracting, and regulation strongly preferredBackground in contract support for a variety of business functions including sales, marketing, engineering and other internal clientsAbility to advise management on risks across the business and strategies for mitigationGood judgment, integrity, and attention to detail; think creatively; act professionallyOne Last ThingOpenText is more than a corporation—it's a global community built on trust, character, and purpose.
