About the role
Messagepoint is seeking a skilled Corporate Lawyer to join our dynamic legal team in Toronto, Ontario. What you’ll do
- Provide comprehensive legal advice on corporate governance, compliance, and regulatory matters to various departments within the organization.
- Draft, review, and negotiate a wide range of corporate agreements, including but not limited to shareholder agreements, partnership agreements, and commercial contracts.
- Assist in the preparation and filing of corporate documents, ensuring compliance with federal and provincial regulations.
- Conduct legal research and analysis to support corporate initiatives and strategic planning efforts.
- Collaborate with cross-functional teams to identify legal risks and develop strategies to mitigate them.
- Represent the company in negotiations with external parties, ensuring that the organization’s interests are protected.
- Monitor changes in laws and regulations that may impact the company’s operations and advise management accordingly.
- Support mergers, acquisitions, and other corporate transactions by conducting due diligence and preparing necessary documentation.
- Provide training and guidance to internal stakeholders on legal compliance and best practices.
- Maintain organized records of legal documents and correspondence for easy retrieval and reference.
- Participate in the development and implementation of corporate policies and procedures to enhance legal compliance.
- Foster strong relationships with external legal counsel and other advisors as needed.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- A minimum of 5 years of experience practicing corporate law, preferably in a corporate setting or law firm.
- Admission to the bar in Ontario and a strong understanding of Canadian corporate law.
- Proven experience in drafting and negotiating complex commercial agreements.
- Excellent analytical and problem‑solving skills, with a keen attention to detail.
- Strong communication skills, both written and verbal, with the ability to convey complex legal concepts to non‑legal stakeholders.
- Demonstrated ability to work independently as well as collaboratively within a team environment.
Nice to have
- Experience in technology or software industries, particularly in areas related to data privacy and intellectual property.
- Familiarity with international business transactions and cross-border legal issues.
- Previous experience in a corporate legal department or as in‑house counsel.
- Additional language skills that may facilitate communication with diverse stakeholders.
Skills & tools
- Proficiency in legal research tools and databases, such as Westlaw or LexisNexis.
- Familiarity with contract management software and document automation tools.
- Strong organizational skills and the ability to manage multiple projects simultaneously.
- Proficient in Microsoft Office Suite, particularly Word and Excel, for drafting and analysis.
