Summary: Dickinson Wright LLP is located in the financial district in downtown Toronto. Staff designated at Dickinson Wright LLP (“the Firm”) as Corporate Law Clerks are responsible for providing professional support services to lawyers and clients of the Firm as assigned or otherwise necessary, on a full-time basis, unless otherwise arranged with the Firm.
Salary: $85,000-100,000
Essential Duties and Responsibilities:
Essential duties and responsibilities of Corporate Law Clerks at the Firm include but are not limited to:
- The drafting and revising of federal and Ontario incorporations and organizations, amendments,
amalgamations and continuances, the formation of limited and general partnerships;
- Preparing and filing PPSA registrations,
business name registrations, annual returns (both in home jurisdiction and extra-provincially), as well as notices pursuant to the Corporations
Information Act and Canada Business Corporations Act and other post-formation filings;
- Working with lawyers on M&A; transactions, corporate reorganizations, share or asset purchase transactions and tax reorganizations;
- Assisting with corporate due diligence, including searches and minute book reviews;
- Ongoing corporate maintenance of both physical and virtual records;
- Other responsibilities as may be assigned.
Qualifications, Skills and Abilities Required:
Corporate Law Clerks must
- Have 5 years’ corporate law experience;
- Have strong communication/interpersonal skills (both verbal and written) including liaising with clients,
and at all levels within the firm;
- Be a member in good standing of the Institute of Law Clerks of Ontario (preferred);
- Be a team player with a positive attitude and the ability to work with colleagues;
- Possess excellent time management, organizational and prioritization skills;
- Can work independently and within tight timelines;
- Can take initiative and be resourceful.
Working Conditions:
Normal law office workplace with little exposure to noise, dust, temperature.
We offer a hybrid working environment, with 3 days per week in office.
