Senior Manager, Third Party Risk Management Oversight and Advisory Work Location: Toronto, Ontario, Canada Hours: 37.5 Line of Business: Risk Management Pay: 115,600.00 - 163,200.00 CAD The Senior Manager, Third Party Risk Management Oversight and Advisory will play a key leadership role in providing second‑line advisory, oversight, and effective challenge across TD’s third‑party risk management lifecycle. This role will support business segments and corporate functions in understanding, assessing, managing, monitoring, and escalating risks arising from third‑party arrangements, with a focus on enabling consistent execution of TPRM requirements and alignment with TD’s risk appetite, regulatory expectations, and enterprise standards. Key Responsibilities Provide second‑line advisory, oversight, and effective challenge to business segments and corporate functions on third‑party risk matters. Advise risk owners and stakeholders on the identification, assessment, mitigation, monitoring, escalation, and reporting of risks arising from third‑party arrangements. Review and challenge third‑party risk assessments, control assessment outcomes, ongoing monitoring results, issues, risk acceptances, and remediation plans using a risk‑based approach. Support the identification and escalation of material third‑party risks, including critical, business‑significant, high‑risk, complex, or emerging risk arrangements. Develop and maintain a robust understanding of assigned business portfolios, third‑party risk profiles, key dependencies, control themes, and emerging risks. Prepare portfolio‑level and transaction‑specific analysis, insights, recommendations, and reporting requirements for senior management and governance forums. Partner with risk oversight functions,



business governance and control teams, procurement, legal, compliance, technology, and operational resiliency stakeholders to support a coordinated view of third‑party risk. Support enterprise TPRM escalation, review, approval, issue management, risk acceptance, and governance processes, ensuring appropriate documentation, challenge, and decision support. Contribute to the ongoing maturity of TPRM advisory practices, including methodologies, playbooks, training, stakeholder guidance, reporting, and continuous improvement activities. Act as a TPRM subject‑matter expert during material events impacting third‑party services, supporting risk assessment, stakeholder coordination, escalation, and remediation oversight. Provide leadership, coaching, and subject‑matter expertise to team members and stakeholders, fostering a strong risk culture, constructive challenge, and high standards of execution. Drive shareholder value by ensuring adherence to enterprise third‑party risk and operational resiliency frameworks and methodologies. Ensure third‑party risk and resiliency programs, policies and practices are well managed, meet business needs, comply with internal and external requirements, and align with business priorities. Consistently exercise discretion in managing correspondence, information, and all matters of confidentiality; and when appropriate, escalating issues.



Ensure applicable internal and external requirements are followed within the team (e.G., financial controls, segregation of duties, transaction approvals, and physical control of assets). Participate in cross‑functional or enterprise initiatives as a third‑party risk and resiliency subject‑matter expert, helping to identify risk and provide guidance for complex situations. Conduct internal and external research and support the development and delivery of presentations and communications to management or broader audiences. Conduct meaningful analysis at the functional or enterprise level, using results to draw conclusions, make recommendations, and assess the effectiveness of programs, policies, and practices. Monitor service performance, assess efficiency levels within the team, and implement continuous improvements where opportunities exist. Lead, facilitate, and implement actions and remediation plans to address performance, risk, or governance issues. Actively manage relationships within and across various business lines and corporate functions, ensuring alignment with enterprise and regulatory requirements. Keep abreast of emerging issues, trends, and evolving regulatory requirements and assess potential impacts. Maintain a culture of risk management and control, supported by effective processes in alignment with risk appetite. Enable employee and team engagement by actively leading a team of risk professionals and participating as a member of the TPRM leadership team to support a positive work environment that promotes quality, innovation, and teamwork.
