Associate Director of M&A; (Hybrid – Toronto) Location: Toronto office at Yonge & St. Clair. Required to be in the office at least 2 days per week.
Overview Andromeda is an operating group of Constellation Software Inc. that acquires vertical‑market software companies worldwide with a buy‑and‑hold mandate. The group provides strategic guidance and financial security to help these companies become leaders in their markets.
Qualifications 5–7+ years of progressive experience at a top‑tier accounting, capital advisory, investment banking, or private equity firm.
3–5 years of mid‑market deal experience executing transactions.
Experience working with small owner‑managed businesses as client or target.
Buy‑side experience is a plus but not required.
CPA, CA designation, CFA, or MBA are considered assets.
Excellent attention to detail and the ability to work in a quick‑paced environment, managing multiple priorities and meeting tight deadlines.
Strong verbal and written communication skills, with an emphasis on relationships and succinct report writing.
Advanced Excel and exceptional financial modelling skills.
Ability to work variable hours and travel as required to close transactions.
Confidence and polish for frequent interaction with senior executives, business owners, investment bankers, lawyers, accountants, and other key stakeholders.
Responsibilities Lead M&A; processes from start to finish with guidance from the VP of M&A.;




Qualify targets for fit and deal probability through early conversations with the business owner or senior executive and review of initial diligence materials.
Perform detailed financial analysis of financial statements and underlying data to identify trends and assess business strength and quality.
Build a detailed financial model in Excel to determine valuation.
Draft offers and deal documents, and negotiate deal terms.
Facilitate the due diligence process through to closing, including managing and coordinating across multiple internal and external diligence work streams.
Maintain relationships with decision makers at acquisition targets.
Salary Range (Ontario & BC Only) Estimated base salary: CAD135,000 – CAD165,000 per year.
