We are currently looking for an In-Office Corporate Law Clerk for our Waterloo Office.

Skills + Qualifications

- 3+ years’ experience as a Corporate Law Clerk
- strong focus on minute book maintenance, corporate filings, transactional support and corporate reorganizations
- Diploma from a recognized Ontario law clerk program certified with The Institute of Law Clerks of Ontario (or equivalent)
- Strong working knowledge of corporate law in Canadian jurisdictions
- Excellent communication skills, both verbal and written
- Excellent organizational skills with the ability to prioritize, multitask and meet deadlines in a fast-paced environment
- Commitment to client service with a strong work ethic and a positive, can-do attitude
- Ability to learn quickly and work independently,
- Strong attention to detail and good judgment
- Proficient computer skills particularly with MacOS and Microsoft Office




- Ability to handle confidential information with the highest degree of integrity and discretion

Roles + Responsibilities

- Maintain corporate and partnership records, minute books, share registers, etc. for Canadian and foreign corporate and partnership entities, for-profit and non-profit corporations and professional corporations, including drafting and preparing annual returns/resolutions, director consents, registers and ledgers, share certificates, bylaws, shareholder and board resolutions
- Prepare and complete corporate filings with Corporations Canada and Ontario Business Registry (e.g., CBCA/OBCA annual returns/notices of change/initial returns, NUANS searches and Business Name registrations, Limited Partnership declarations, extra-provincial registrations, PPSA searches/registrations, Articles of Incorporation/Amendment/Continuance/Amalgamations/Dissolution
- Assist on corporate transactions such as incorporations, dissolutions, tax reorganizations and restructurings, asset/share sales and corporate reorganizations (including but not limited to amalgamations and continuances), assisting with minute book reviews, due diligence and corporate searches, preparing ancillary documents and pre- and post-closing documents
- Assist with Ontario limited partnership formations and ongoing maintenance;
- Attend to document legalization, notarization and apostilles
- General administrative duties on an as-needed basis, such as providing general administrative support to legal professionals and senior law clerks, including assisting in tracking billable hours and preparing invoices, managing team calendars, acting as point of contact for clients and handling routine correspondences
- Additional duties assigned based on business needs

Compensation:

Competitive annual salary based on level of experience
