Key Responsibilities Draft, review, and negotiate a broad range of commercial agreements, confidentiality agreements, and other corporate documentation. Support corporate governance and entity management activities, including maintaining organizational records, preparing regulatory and corporate filings, coordinating banking matters, and managing corporate records. Assist with the preparation of board and committee materials, corporate resolutions, meeting minutes, and other governance-related documentation. Provide transactional support for corporate finance, lending, investment, and strategic business initiatives, including coordinating closing deliverables, corporate authorizations, signatures, and post-closing record management. Conduct due diligence reviews, prepare and respond to compliance and onboarding questionnaires, and assist with various stakeholder reporting requirements. Support the preparation, review, and maintenance of corporate, investment, and operational documentation,
while collaborating with internal and external stakeholders on a variety of legal and business matters. Assist with entity formation, restructuring initiatives, and the ongoing administration of domestic and international corporate entities. Contribute to special projects and provide legal and operational support across multiple business functions as required. Qualifications The ideal candidate will have 3+ years of legal experience gained at a leading law firm, asset management firm, or financial institution. The successful candidate will have experience advising on corporate matters involving Ontario entities and will be comfortable working with, or developing expertise in, cross-border structures, including Cayman Islands and U.S. entities. Exposure to investment management, fund-related matters, corporate governance, and commercial transactions would be considered an asset. #J-18808-Ljbffr
