The Opportunity: The firm is seeking an experienced Corporate Lawyer with 4+ years of call to join the team in Vancouver.

This role sits at the intersection of corporate law, securities and technology.

You will advise startups and growth-stage technology companies on their most significant legal moments: structuring for investment, raising capital, negotiating technology and IP agreements, and navigating cross-border regulatory requirements.





This is a great opportunity for an Associate who enjoys working in a dynamic and entrepreneurial environment.

What You Will Do: Advise technology startups and growth-stage companies on corporate structuring, shareholder agreements, and governance matters.

Assist with mergers, acquisitions, and corporate reorganizations for technology companies.

Act on Canadian and cross-border securities matters including venture capital financings, seed rounds, angel investments, and private placements.

Draft and negotiate technology agreements including SaaS licensing agreements, end-user license agreements (EULAs), IP transfer and assignment agreements, and technology development contracts.
