THE ROLE:

TheVice President, Enterprise Risk provides leadership and oversight for theCredit Union's Enterprise Risk Management (ERM) framework, supporting theachievement of organizational objectives by ensuring risks are appropriatelyidentified, assessed, monitored, managed and reported. The role providesindependent second-line oversight across material risk categories, promotes apractical and accountable risk culture, leads the Anti-Money Laundering (AML)function, oversees adequate QRM of any high-risk business activities; overseescorporate insurance policies and provides the Board and Executive LeadershipTeam with transparent insight into the Credit Union's overall risk profile.

Thisrole directly manages or performs the function of Chief Anti Money LaunderingCompliance Officer and Privacy Officer; The role supports strategic andoperational decision-making by providing risk advice, credible challenges andpractical recommendations.

The Vice

President monitors emerging risks andregulatory developments, supports enterprise stress testing and resilienceplanning, and helps ensure that risk appetite considerations are reflected inbusiness planning, key initiatives and governance reporting. The role isaccountable for ERM, AML, regulatory risk oversight, Board reporting and riskculture, while contributing to strategic planning and emerging risk monitoringin a scaled, practical manner.

Core Outcomes:

Enterprise Risk Management and Governance

- Lead the maintenance and continuous improvement of the ERMframework, including risk taxonomy, risk assessment methodology, risk appetitealignment, escalation protocols, reporting standards and governance practices.
- Oversee enterprise-level risk identification, assessment,monitoring and mitigation activities, ensuring risk information is clear,timely and useful for management and Board decision-making.
- Provide independent review and constructive challenge on materialinitiatives, operational changes, new products or services, process changes andsignificant third-party arrangements.
- Coordinate enterprise risk reporting for the Board, BoardCommittees and Executive Leadership Team, including material risk exposures,key risk indicators, risk appetite performance, emerging issues and mitigationprogress.
- Ensure risk policies, standards and procedures are current,practical, appropriately approved and understood by risk owners across theorganization.
- Act as a liaison for Credit Union regarding processes andprocedures for branches and organizational controls, compliance and privacy

Second-Line Oversight and Risk Advisory

- Provide objective second-line oversight while respectingfirst-line ownership of day-to-day risk management.
- Partner with business leaders to build practical controls, clarifyaccountability and support informed risk-based decision-making.
- Monitor the effectiveness of risk management practices across keyfunctions and elevate concerns, gaps or trends as appropriate.
- Advise on operational, compliance, technology, cyber, outsourcing,fraud prevention, business continuity, data governance and member-impact risks.
- Promote consistent risk assessment and issue management practices,including root-cause analysis and sustainable remediation planning.

AML, Financial Crime and Compliance Oversight

- Lead the AML function and ensure the program has appropriategovernance, monitoring, training, reporting, investigation, escalation andrecord-keeping practices.
- Oversee financial crime risk considerations, including suspiciousactivity escalation, sanctions-related considerations, fraud risk trends andhigher-risk member or transaction typologies.
- Ensure AML-related roles, responsibilities and oversightmechanisms are clearly understood by accountable leaders and operational teams.
- Provide timely reporting to Executive and Board-level stakeholderson AML risk, program effectiveness, issues, trends and remediation activity.




- Support readiness for independent reviews, audits, examinationsand regulatory inquiries related to AML and financial crime risk.

Risk Appetite, Key Risk Indicators and Reporting

- Maintain the Enterprise Risk Appetite Framework and recommendpractical refinements to support alignment with strategic objectives, capitalcapacity, operational capabilities and regulatory expectations.
- Develop and maintain key risk indicators, risk dashboards andreporting tools that support effective monitoring of material risk exposures.
- Monitor performance against established risk appetite measures andreport significant deviations to Executive Leadership and the Board.
- Use trend analysis and available data to identify risk themes,emerging issues and areas requiring management attention.
- Ensure reporting is balanced, concise and actionable, with clearownership of mitigation actions and follow-up items.

Scaled Emerging Risk and Strategic Input

- Monitor emerging risks, regulatory developments, industry trends,technology changes and competitive factors that may affect the Credit Union’soperations, strategy or risk profile.
- Provide periodic emerging risk updates to Executive Leadership andthe Board as part of regular ERM reporting.
- Provide risk input and independent challenge to support strategicplanning, business cases, transformation initiatives and materialorganizational decisions.
- Review material products, services, partnerships and operationalchanges for alignment with risk appetite and control expectations.
- Support management in identifying practical mitigation strategiesfor emerging or changing risk exposures.

Stress Testing, ICAAP and Resilience Support

- Support enterprise stress testing, ICAAP activities and businesscontinuity planning to assess organizational preparedness under adverseconditions.
- Collaborate with Finance, Operations, Technology and businessleaders to assess potential impacts on capital, liquidity, operations, memberservice and strategic priorities.
- Ensure stress testing and scenario discussions are practical,proportionate and linked to business continuity, operational resilience andrisk appetite considerations.
- Support the follow-up of action items arising from stress testing,incident reviews, business continuity exercises or risk assessments.
- Provide input into resilience planning without assuming ownershipfor all enterprise strategy, capital allocation or business model decisions.

Board, Executive and Committee Reporting

- Prepare and present clear, balanced and decision-useful riskreporting for the Board, Committees and Executive Leadership Team.
- Bring forward significant control gaps, material incidents,regulatory developments, AML matters, emerging risks and proposed mitigationstrategies in a timely manner.
- Support effective governance through clear documentation,transparent escalation, practical recommendations and follow-up on approvedactions.
- Contribute to Board and Executive education on ERM, AML, riskappetite, regulatory expectations and risk culture.

People Leadership and Risk Culture

- Lead, coach and develop employees within the Enterprise Risk, AMLand related oversight functions, creating clarity of priorities, expectationsand accountabilities.
- Champion a risk-aware culture that supports member trust, employeeaccountability, operational resilience and ethical decision-making.
- Build strong relationships across the organization whilemaintaining appropriate independence and professional objectivity.
- Encourage respectful challenge, timely escalation, continuouslearning and practical problem-solving.
- Support risk education and awareness through tools, templates,communication and cross-functional engagement.

Operational Excellence and Continuous Improvement

- Identify opportunities to simplify, strengthen and integrate riskmanagement practices without creating unnecessary administrative burden.
- Oversee risk-related issue tracking, action planning, follow-upand closure validation.
- Support the development of practical tools, templates andreporting practices that improve consistency, accountability and transparency.
- Coordinate with internal audit, compliance, operations and otherfunctions to avoid duplication and support effective control oversight.
- Maintain confidentiality and sound documentation practices forsensitive risk, AML, regulatory and governance matters.

Security Safety





- Maintains awareness of criminal trends and provides strategies andrecommendations to mitigate risk to the credit union
- Maintains awareness of threats to IT infrastructure
- Responds to robbery situations
- Attends court proceedings and acts as an expert witness forprocedures

Privacy Officer

- Oversees and acts as back up the Privacy Officer with respect toPersonal Information Protection Act (PIPA) and its regulations
- Responsible for the ongoing development and application ofcompliance policies and procedures ensuring they meet the requirements of thelegislation; ensuring the credit union follows the policies of Central1 andPIPA

Working Conditions

- Work is primarily performed in an office or hybrid workenvironment, depending on operational requirements and organizational policy.
- The role may require attendance at Board, Committee, Executive orregulatory meetings outside regular business hours.
- The position handles sensitive, confidential and privilegedinformation and requires a high degree of discretion.
- Periods of increased workload may occur during audits, regulatoryreviews, incidents, strategic planning cycles, stress testing, reportingdeadlines or significant organizational change.

REQUIRED SKILLS & ABILITIES:

This position will require the following technical skills:
- Strong knowledge of enterprise riskmanagement frameworks, risk appetite structures, risk assessment methodologies,risk reporting and governance practices.
- Demonstrated understanding of Canadiancredit union, financial institution or regulated financial services riskenvironments.
- Knowledge of AML/ATF programgovernance, financial crime risk management, monitoring, escalation, reportingand independent review expectations.
- Ability to interpret regulatoryexpectations and translate them into practical organizational policies,controls and reporting practices.
- Experience with Board and Executivereporting, including the ability to communicate complex risk matters clearlyand succinctly.
- Ability to assess operational,compliance, technology, cyber, third-party, strategic, business continuity andreputational risks in a practical business context.
- Working knowledge of ICAAP, stresstesting, key risk indicators, risk dashboards and risk appetite monitoring.
- Strong policy writing, issuemanagement, root-cause analysis, control assessment, remediation tracking andgovernance documentation skills.
- Comfort using data, trend analysis andreporting tools to support senior-level decision-making.
- Awareness of emerging technology,cyber security, digital transformation and innovation-related risks.

EDUCATION & EXPERIENCE:

- University degree in business,finance, accounting, economics, law, public administration, risk management ora related discipline; equivalent combinations of education and senior-levelexperience may be considered.
- Significant progressive leadershipexperience in enterprise risk, compliance, AML, audit, governance or a relatedoversight function within a regulated financial services environment.
- Experience leading or providing senioroversight of AML, financial crime, compliance or regulatory risk programs isstrongly preferred.
- Experience preparing and presentingreports to executive teams, Board committees or Boards of Directors.
- Experience leading teams, buildingframeworks, developing policies and implementing governance, oversight orreporting processes.
- Experience with ICAAP, stress testing,risk appetite reporting, business continuity or operational resilience is anasset.
- Professional designation orspecialized training related to risk, compliance, audit, AML, governance orfinancial services is considered an asset, such as CRM, FRM, CAMS, CIA, CPA,ICD.D or equivalent.
