Board Director The Board of Directors is the legal authority for Community Options for Children and Families. As a member of the Board, a Director acts in a position of trust for the community and is responsible for the effective governance of the organization.
Requirements
Requirements of Board membership include:
Commitment to the work of the organization
Knowledge and skills or a responsible commitment in obtaining knowledge and skills in one or more areas of Board governance: policy, finance, programs, personnel and advocacy.
Willingness to serve on committees
Regular attendance at monthly Board meetings and important related meetings
Support of special events
Support of, and participation in fundraising events
Stays informed about committee matters, communicates as needed with the Board and Executive Director, prepares themselves well for meetings, and reviews and comments on minutes and reports.
Commitment to work with the Board and Staff members in a consensus-based model of decision making.
Gets to know other committee members and builds a collegial working relationship that contributes to consensus.
General Duties A Director is fully informed on organizational matters and participates in the Board’s deliberations and decisions in matters of policy, finance, programs, personnel and advocacy.
The Director must
Review and approve, where appropriate, policy and other recommendations received from the Board, committees and staff members.
Monitor all Board policies.
Review the bylaws and policy manual and recommend bylaw changes to the membership.
Review the Board’s structure, approve changes, and prepare necessary bylaw amendments.
Participate in the development of Community Options for Children and Families (COCF) strategic plan and annual review.
Approve COCF’s budget.
Approve the hiring and release of the Executive Director, including the Executive Director’s employment contract, based on the recommendation of the Hiring Committee.
Support and participate in evaluating the Executive Director.
Assist in developing and maintaining positive relations among the Board, staff members, organizational membership and the community to enhance COCF’s mission.
Evaluation The Board as a whole evaluates its performance and the performance of its members annually.
