Senior Corporate Law Clerk
Our client, a growing full-service law firm, is seeking an experienced and highly organized Senior Corporate Law Clerk with 5–10 years of experience to join its Corporate/Commercial group. Reporting to the head of the Corporate/Commercial department, the successful candidate will play a key role in supporting transactional and corporate matters. With the support of a dedicated administrative team, this position is focused on substantive legal and transactional work rather than routine administrative tasks.
Key Responsibilities
- Prepare and file corporate transactions, including incorporations, amendments, amalgamations, continuances, dissolutions, and renewals.
- Prepare and submit corporate and regulatory filings, including extra-provincial registrations, business name registrations, PPSA registrations, and securities-related filings.
- Conduct corporate, due diligence, and regulatory searches at both the provincial and federal levels.
- Review, maintain, and reorganize corporate minute books, identify deficiencies, and implement corrective actions.
- Manage annual corporate maintenance requirements and ensure ongoing compliance obligations are met.
- Utilize provincial, federal, and securities filing systems, including SEDAR+, for corporate and regulatory filings and searches.
- Assist with private placements and related securities law filings and documentation.
- Support share and asset purchase/sale transactions by preparing closing documentation, coordinating closings, and managing post-closing requirements.
- Collaborate with legal and tax advisors on corporate reorganizations and tax-driven transactions.
- Maintain and update corporate records using legal practice management and corporate records software.
Qualifications
- 5–10 years of experience as a Corporate Law Clerk.
- Strong knowledge of federal and provincial corporate statutes, corporate procedures, and securities-related filings.
- Experience handling complex corporate transactions and ongoing corporate maintenance matters.
- Exceptional organizational skills and attention to detail.
- Excellent communication skills with a strong client-service orientation.
- Proficiency with Microsoft Office and legal technology platforms.
- Experience with corporate records management and practice management software is considered an asset.
Work Environment
This role is primarily office-based, with employees expected to work in office five days per week. Hybrid flexibility may be considered based on experience and business requirements.
Compensation
$80,000–$100,000 annually, commensurate with experience and qualifications.
