JOB PURPOSE
Reporting to the Chief Operating Officer, the Senior Legal Counsel protects the firm’s legal well-being by directly being involved in all major initiatives, as well as, by being responsible for providing legal, reputational, regulatory, and transactional advice to the Senior Leaders in the organization.
As the Senior Legal Counsel at CanDeal you will be responsible for supporting CanDeal Group Inc. and its subsidiaries on a variety of commercial and transactional matters across the enterprise.



The role requires a hands-on lawyer with at least 5 years experience working on complex commercial contracts in the Fin-tech space as well as experience in corporate and regulatory governance.
The successful candidate will be required to work independently while at the same time operating within a small team as the legal specialist on many initiatives. Specific responsibilities include:
Key Accountabilities:
- Act as a trusted legal advisor to senior leaders and business teams on a broad range of commercial, regulatory, reputational and operational matters.- Support strategic initiatives, business alliances, current product and service development, technology initiatives, outsourcing arrangements and other enterprise projects.- Draft, review and negotiate a broad range of commercial agreements, including customer, supplier, technology, licensing, software development, outsourcing, professional services, support services, consulting, purchasing, data distribution, revenue share and other commercial agreements.- Work with business lines to develop, maintain and improve standard form agreements for CanDeal’s products and services.- Advise on day-to-day legal matters, including contract interpretation, privacy, information security, intellectual property, corporate policies,



compliance and securities law-related matters.- Support corporate governance and corporate secretarial matters.- Manage and liaise with external counsel on specialized matters and projects as required.- Contribute to legal department operations, process improvements and knowledge management initiatives.- Perform other duties as assigned.
Qualifications:
- Member of the Bar of Ontario with membership in good standing.- Graduate of a recognized law school.- Qualified legal professional with at least 5+ years of relevant, financial services industry experience- Knowledge and experience drafting, negotiating, structuring, and advising on various types of commercial contracts and transactions.- Exceptional written communication, negotiation and drafting skills;
demonstrated consistentand prompt use of sound legal and business judgement.- Excellent analytical and problem-solving skills and attention to detail.- An understanding of OTC Debt and Derivatives markets including relevant securities law is an asset.- Pragmatic approach, including the ability to simplify legal constructs and concepts for business colleagues and non-legal audiences.
