Role Description The Associate Lawyer will work full time on-site in Markham, ON, supporting corporate and commercial clients with a broad range of legal services. Day-to-day responsibilities include drafting, reviewing, and negotiating contracts and corporate documents, conducting legal research, and preparing opinions and memoranda. The role involves advising clients on corporate governance, regulatory compliance, risk management, and commercial transactions, as well as supporting outsourced in-house counsel engagements. The Associate Lawyer will attend client meetings, help develop tailored legal strategies aligned with business goals,



and collaborate with colleagues to deliver timely, high-quality work. Participation in matter management, file organization, and practice development initiatives will also be part of the role.

Qualifications

- Strong skills in drafting, reviewing, and negotiating commercial contracts and corporate documents.
- Proficiency in legal research, statutory interpretation, and preparation of legal opinions and memoranda.
- Experience advising on corporate and commercial law matters, including corporate governance and regulatory compliance.
- Ability to assess business risk, develop practical legal strategies, and provide solutions-focused advice.
- Excellent written and verbal communication skills, with strong attention to detail and organization.
- Demonstrated capacity to manage multiple files, prioritize tasks, and meet deadlines in a fast-paced setting.
- Collaborative mindset with the ability to build client relationships and work as a strategic partner to businesses.
- License to practice law in Ontario and membership in good standing with the Law Society of Ontario.
- 2–4 years of experience in corporate/commercial law or a closely related practice area is preferred.
