OpenText is seeking a commercial Legal Counsel to join our in-house legal team performing commercial transactional work for an established but growing line of business. This is a diverse role that will require negotiating and drafting a wide variety of commercial technology agreements in support of various North American-region sales activity, including cloud services agreements, software licenses, and professional services. The role also involves acting as a trusted Legal advisor supporting a growing and dynamic line of business, working with cross-functional groups, researching novel product offerings, and handling escalations.

The successful candidate is expected to perform analysis and provide guidance on company transactions as well as new go-to-market products, evaluate risk, update templates, create efficiencies, deliver training, and manage projects benefiting the Legal team and department.



Use of AI and the ability to support a business leaning heavily into this field is also an important part of this position.

Reviewing and negotiating a wide variety of commercial agreements, with extra emphasis on software & SaaS

Building positive working relationships with teammates, subject matter experts, internal clients and customers

Providing high quality, practical support to business

Strong experience working in a legal department or a law firm handling commercial matters

4+ years of experience conducting contract negotiations, preferably concerning technology

Enthusiastic, hard-working, enjoy working in a team workplace and confident working at a senior level with lawyers and other professional colleagues

Experience doing business with regulated industries, and understanding or interest in data privacy/data security a plus

Solid hands-on experience drafting, negotiating and providing guidance on a wide variety of agreements; particularly in software licensing, hosted/cloud-based product agreements, professional services contracts, and maintenance and support agreements

Knowledge of working within the IT sector and assisting sales executives on commercial and sales transactions.

Background in contract support for a variety of business functions including sales, marketing, engineering and other internal clients

Ability to advise management on risks across the business and strategies for mitigation
