We provide a fully operational, compliance-driven legal platform for experienced lawyers who wish to practise independently while benefiting from institutional infrastructure, established goodwill, and centralized administrative systems.

This is not an employment position. We engage lawyers strictly as independent contractors operating through the Firm’s platform.

Our Platform

Pax Law provides, at its own operational cost and risk:n

- Fully equipped office premises
- Practice management and billing systems
- Trust accounting infrastructure
- Compliance protocols and regulatory oversight
- Administrative and intake staff
- Legal assistants and paralegal support
- Marketing and client acquisition systems
- Technology, cybersecurity, and cloud-based file management
- Centralized management and risk controls

The Firm underwent a Law Society compliance audit in the second half of 2025, confirming that its operations, trust accounting, and practice management systems were in good order, subject only to minor and non-material observations.n

Maintaining this level of compliance requires sustained investment and oversight, which the Firm continuously bears.

Nature of the Relationship

Lawyers engaged with Pax Law:n

- Operate as independent contractors
- Are not employees, partners, or dependent contractors




- Maintain professional independence in handling their files
- Control the manner, means, and location of their work (subject to client needs and regulatory rules)
- Bear the full risk of profit and loss associated with their practice

There is no salary, draw, guaranteed income, vacation pay, advantages, or bonus structure.n

Compensation is strictly percentage-based.

Contractors are compensated solely through a percentage of Net Collected Billings.

n

Net Collected Billings means funds actually received by the Firm for the Contractor’s billable legal services after all disbursements, overhead, administrative expenses, write-offs, chargebacks, refunds, and applicable taxes have been fully recovered.

There is no fee split on:

n

• Invoices issued

n

Fee split is calculated semi-monthly as follows:

n

• 50% where Net Collected Billings are under $5,000

n

• 60% where Net Collected Billings are $5,000 to under $10,000

n

• 65% where Net Collected Billings are $10,000 or more

n

This structure reflects the substantial infrastructure, operational costs, regulatory compliance systems, and business risk borne by the Firm.

Mandatory Overhead Recovery

All overhead, administrative, staffing, compliance,



and technology costs attributable to Contractor files must be properly recorded, billed to clients, and recovered prior to any fee split.n

Contractors have an affirmative obligation to ensure expenses are correctly billed.

The Firm may adjust, correct, or recover unbilled or underbilled overhead from:

n

- Client trust funds
- Accounts receivable
- Contractor distributions

This ensures regulatory compliance, financial transparency, and institutional sustainability.n

Jurisdictional Scope

The Firm operates in:n
- British Columbia
- Alberta

Headquarters, governance, billing, accounting, and trust administration remain in British Columbia.n

Professional Standards & Indemnification

Contractors must:n
- Maintain good standing with their applicable Law Society
- Carry required professional liability insurance
- Comply with all regulatory and ethical obligations
- Protect Firm confidentiality, intellectual property, and systems

Contractors agree to indemnify the Firm in accordance with the Independent Lawyer Services Agreement.n
