IMMEDIATE INTERIM CHANCE

Interim Legal Counsel – Québec

Time Commitment: 10 hours per week

Duration: 3–5 months

Location: Québec

100% virtual

Our client is a growing global cybersecurity leader, looking for an experienced bi-lingual legal skilled to augment their team. The organization is entering a critical commercial and strategic phase, anchored by the renewal of a major licensing agreement with Centre d'acquisitions gouvernementales (CAG).

Beyond the immediate contract renewal, the organization sees an opportunity to deepen and broaden the commercial relationship through complementary partnership structures, enhanced service models, and longer‑term strategic alignment. Given the complexity, visibility, and precedential nature of this negotiation, the executive leadership team is seeking experienced interim legal support to represent the organization through this period.

This is a high‑judgment, negotiation‑led engagement, not a volume‑driven legal support role.

Mandate Overview

The Interim Legal Counsel will work closely with the CEO and senior executive team to lead and support negotiations related to the renewal of a significant Québec‑based licensing agreement, while laying the legal and commercial foundations for a more expansive partnership model.

The mandate combines:

- Direct negotiation support
- Contract drafting and structuring
- Risk identification and mitigation
- Strategic legal advice to senior leadership

The interim will act as a trusted legal advisor and negotiator, ensuring the organization’s interests are protected while enabling a constructive and durable relationship with a key public‑sector partner.

Key Responsibilities

Contract Renewal & Negotiation

- Lead or support negotiations with the client’s Québec public‑sector counterparty (CAG) on renewal terms.
- Advise the executive team on positioning, concessions, and tradeoffs.
- Ensure alignment between commercial objectives and legal structures.

Drafting & Legal Structuring

- Draft and negotiate licensing agreements, renewals, amendments, and related commercial documentation.




- Structure terms that allow for future expansion of scope, services, or collaboration.
- Ensure agreements reflect Québec‑specific statutory, regulatory, and public‑sector requirements.

Risk Identification & Management

- Identify and articulate legal, commercial, regulatory, reputational, and operational risks.
- Provide practical risk‑based guidance.
- Ensure risks are clearly understood by leadership and appropriately mitigated in contract language.

Partnership Enablement

- Support the legal design of broader partnership opportunities beyond the core license.
- Advise on governance, accountability, data, IP, service levels, and termination frameworks.
- Help set conditions for a stronger, longer‑term business relationship.

Executive Advisory

- Serve as a sounding board to the executive team during a high‑stakes negotiation.
- Translate legal considerations into transparent business implications for non‑legal leaders.
- Maintain pace, confidence, and discipline through the negotiation cycle.

- The ability to operate independently and pragmatically in a fractional, advisory capacity.
- Confidence engaging directly with senior executives and counterpart counsel.
- A style that balances risk awareness with commercial enablement.
