Community Legal Education Association is a charity that provides Manitobans with information about the law through various programs. We have been providing access to legal information and education and therefore access to justice since 1984. We believe that the law belongs to the people ? ?Unknown rights are not rights at all!? Community Legal Education Association is looking to strengthen their Board of Directors. We need a board member with a financial background. If you have any questions, please contact us at [email protected] Deadline: Friday, May 22, 2025, 4 p.m. TERMS OF REFERENCE FOR A BOARD MEMBER OF COMMUNITY LEGALEDUCATION ASSOCIATION (CLEA) Term

Two-year term and eligible to seek re-election at the Annual General Meeting. Prerequisites

Directors must be members in good standing of CLEA. ?Member in good standing? means a member of CLEA who has paid their membership fees ($25.00) for the current calendar year at least seven days prior to the Annual General Meeting. Board members must support CLEAs mission to provide legal information that helps Manitobans understand the legal system and how to resolve their legal issues. CLEA believes that legal knowledge is essential for full and equal participation in our society. CLEA also works to identify barriers and promote possible solutions to support a more equitable and accessible justice system that is responsive to the needs of Manitobas diverse communities. Time Commitment





Maintain regular attendance at board meetings (approximately eight meetings per year, each approximately 1 hour in length). Attend the Annual General Meeting in June. Serve actively on at least two committees (By-Law & Policy Review Committee, Nominating/Board Development Committee, Finance Committee, Personnel Committee, Law Phone-In Committee). Time commitment varies depending on the committee (on average approximately 1 hour per month per committee). Attend Strategic Planning Session, as applicable (approximately 3 or 4 hours). Prepare in advance for meetings (approximately 30 minutes), which includes reviewing the pre-meeting package in advance of the meeting. Attend and support all CLEA special events (e.g. Quiz Night). Members Of The Board Of CLEA Are Expected To

Comply with The Corporations Act, CLEAs by-laws, policies, and Board decisions; remain familiar with them and propose/adopt revisions as necessary. Ensure that CLEA is fulfilling its mandate and is accountable to members through periodic reviews of its operations, mission, and goals. Establish and oversee policies, ensuring they are implemented and carried out.



Act honestly and in positive faith with a view to the best interests of the organization, exercising the care, diligence, and skill of a reasonably prudent person. Oversee finances: ensure CLEA is operating in a fiscally responsible manner, understand and approve the annual budget and monitor finances, and review the audited financial statements and ensure they are presented for approval at the Annual General Meeting. Participate in Board education and development opportunities. Follow through on accepted tasks, participate actively in meetings and committees, prepare in advance, and advise the President and/or the Executive Director if unable to attend. Demonstrate commitment to CLEA by engaging in discussions, serving on ad hoc committees in addition to standing committees, and staying informed of the Associations activities. Report potential conflicts of interest as soon as they arise. Assist in the recruitment of new directors. Assist in assessing the performance of the Board, its President, the Executive Director, and yourself, including participation in regular board self-assessment processes to ensure effectiveness and accountability. Become involved in fundraising to the degree that time, expertise, and experience allow. Maintain confidentiality. Advocate for positions you support. Conduct yourself professionally at meetings: arrive on time, follow the agenda, and contribute in a positive, constructive manner. Represent CLEA positively: act as an ambassador, promote CLEAs goals and programs, and support special events.
